The Foreign Corrupt Practices Act (FCPA) holds the management of U.S. companies responsible for the behavior of their personnel outside the country, including officers, directors, employees, stockholders, and agents. Under this law, U.S. companies operating abroad must meet specific standards of transparency and ethics in their operations, including making bribery illegal and requiring fair business practices. The FCPA provides for significant penalties under U.S. law for those who violate the law, both for companies and individuals involved in such practices. Failure to comply can have severe legal and financial consequences. This exposes the management of companies with operations in Latin American countries to a high degree of risk.
